TripLodge Universe— Vendor Terms & Conditions
These Vendor Terms & Conditions (the “Agreement”) are entered into between TripLodge Universe Pvt. Ltd. (“TripLodge”, “we”, “us”, or “Platform”) and the registered vendor/hotel partner (“Vendor”, “you” or “Partner”). By registering, listing, or accepting bookings through the Platform you agree to be bound by this Agreement.
Definitions
“Platform” means TripLodge Universe’s website(s), mobile application(s), APIs and related services that enable listing, discovery, booking and management of accommodations and ancillary services.
“Vendor” means an individual, hotel, guest house, homestay, resort or other accommodation provider who lists property/properties on the Platform.
“Booking” means a reservation for accommodation and/or services confirmed via the Platform, including any ancillary services.
“Guest” means the person who makes a Booking or stays at the Vendor’s property.
“Service Fee” means the commission, fee or charge retained by TripLodge for use of the Platform, as set out in the Vendor dashboard, invoices or monthly statements.
“Content” means information, descriptions, photos, rates, inventory and materials provided by Vendor for listing on the Platform.
“Personal Data” means any information relating to an identified or identifiable natural person processed in connection with the use of the Platform.
Application & Scope
These Terms govern the relationship between TripLodge and Vendor for providing listing, distribution, booking, payment processing, and related services.
Each confirmed Booking constitutes a separate contract between the Vendor and the Guest, subject to these Terms and the Vendor’s displayed property-specific policies (refunds, check-in/out, extra services).
TripLodge acts as a facilitator, channel manager and marketplace and may also handle payments on behalf of the Vendor subject to separate payment terms.
Eligibility, Registration & Onboarding
Vendor must be a legally capable entity or individual authorized to contract under applicable law. If the Vendor is an entity, the person completing registration warrants they are authorized to bind the entity.
Vendor must provide accurate, current and complete information at onboarding including legal name, business address, bank details for payouts, GSTIN (where applicable), contact details, copies of required licenses and registrations, and any required KYC documents.
Vendor is responsible for maintaining and promptly updating the information on the Platform.
TripLodge reserves the right to accept or reject any Vendor registration, to request additional documentation, or to temporarily suspend access during verification.
Vendor Obligations & Compliance
Legal & Regulatory Compliance. Vendor represents and warrants that it will, at its sole cost and expense, obtain and maintain all necessary licenses, approvals and permits required to operate the property and provide services (including building permits, fire safety certificates, trade/health licenses, FSSAI license where applicable, and any local municipal licenses). Vendors shall comply with all applicable national, state and local laws, rules and regulations governing hotels and hospitality services. Guidance on typical hotel licenses and registrations in India includes building permits, fire safety, Trade/Health licenses, police/security license, FSSAI (for food), and GST registration. Taxes. Vendor is solely responsible for collection, reporting and remittance of all applicable taxes (including GST) arising from Bookings and Vendor’s business operations and shall hold TripLodge harmless from any failure to pay taxes. The GST regime in India is legislated by the Central Goods and Services Tax Act, 2017 and related state laws — Vendor must register for and comply with applicable GST rules if thresholds apply. Books & Records. Vendor will keep accurate records of all Bookings, cancellations, refunds, guests’ payments and taxes, and make such records available to TripLodge or competent authorities as required.
Health, Safety & Standards. Vendor shall maintain its property and services in compliance with hygiene, health and safety standards applicable in the Vendor’s jurisdiction and shall promptly notify TripLodge of any event which materially affects Guest safety or the property’s suitability.
Anti-Fraud & Anti-Money Laundering. Vendor shall not engage in fraudulent billing, false invoices, fake bookings or any attempt to manipulate marketplace metrics. TripLodge expressly prohibits bogus billing and will cooperate with law enforcement in matters of fraud. (Recent enforcement actions in Indian GST administrations highlight strict scrutiny and penalties for bogus billing.)
Guest Service & Non-Discrimination. Vendor must not discriminate against Guests on grounds prohibited by law and must honour confirmed Bookings consistent with the property’s displayed terms.
Listings, Content & Intellectual Property
Content Accuracy. Vendor must ensure all Content (descriptions, photos, rates, inventory) is accurate, up-to-date and not misleading.
Content Rights. Vendor represents that it owns or has secured all intellectual property rights for Content provided. Vendor grants TripLodge a worldwide, non-exclusive, royalty-free licence to display, copy, distribute and use the Content for Platform operations and marketing.
Review & Removal. TripLodge may refuse or remove Content that violates these Terms, applicable law, or Platform policies (including content that is fraudulent, obscene, or illegal).
Rates, Inventory & Booking Management
Rates & Inventory Accuracy. Vendor is responsible for the rates and inventory posted on the Platform. Any changes must be reflected promptly.
Parity. Vendor warrants that rates & availability listed on TripLodge will not be materially higher than rates available on Vendor’s direct channels unless disclosed. (Partnerships may specify parity obligations in the vendor dashboard or separate SLA.)
Confirmation. A Booking is confirmed when TripLodge communicates a confirmation to Vendor and Guest and the Guest’s payment (if applicable) has been authorized or collected as per the payment flow.
Overbooking. Vendor shall not accept or confirm Bookings when inventory is unavailable. In case of overbooking, Vendor is responsible for alternate accommodation and any compensatory obligations to Guests.
Payments, Payouts & Fees
Service Fee & Commission. TripLodge will charge a Service Fee (commission) on Bookings as communicated on the Vendor dashboard or in a separate schedule. Service Fee is exclusive of applicable taxes unless otherwise stated.
Payment Flows. TripLodge may collect payments from Guests and remit payouts to the Vendor after deducting Service Fee and applicable taxes. Timing and mode of payouts are set out in the Vendor dashboard.
Refunds & Chargebacks. Refunds and chargeback claims shall be handled per Platform refund policy and applicable law. Vendor must cooperate to resolve disputes, and TripLodge may delay or adjust payouts pending investigation into refunds/chargebacks.
Tax Invoices. Vendor shall issue tax invoices for Bookings where legally required and comply with invoicing rules under applicable law (including GST invoice requirements in India). TripLodge may issue receipts or invoices for the platform fee portion.
Withholding. TripLodge may withhold payouts (in whole or part) to cover refunds, chargebacks, taxes or amounts owed by Vendor to TripLodge.
Data Protection & Privacy
Compliance with Data Laws. Each party shall process Personal Data in compliance with applicable data protection laws. In India, the recent Digital Personal Data Protection Act (DPDP Act, 2023) establishes obligations on entities processing digital personal data; the Information Technology Act and related rules also impose security and liability requirements for corporate data handlers. Vendor and TripLodge shall implement reasonable organizational and technical measures to protect Personal Data.
Purpose Limitation. Personal Data shared between TripLodge and Vendor shall be used only for purposes related to booking fulfilment, guest service, legal compliance, dispute resolution and fraud prevention.
Cross-border Transfers. If personal data is transferred across borders, the transferring party must comply with applicable restrictions and provide appropriate safeguards.
Breach Notification. Vendor shall immediately notify TripLodge upon becoming aware of any data breach affecting TripLodge data or Guest Personal Data and cooperate in breach-response processes.
Consent & Privacy Policy. Vendor will collect and process Guest personal data only with appropriate notice and consent in accordance with applicable privacy laws and TripLodge’s privacy policy.
Consumer Protection & Guest Rights
Consumer Law Compliance. Vendor must comply with consumer protection laws and Guest rights. In India, the Consumer Protection Act, 2019 contains important protections and enforcement mechanisms for consumers; Vendor agrees to respect consumer rights and cooperate with complaints and regulatory authorities. Refund & Cancellation Policies. Vendor’s cancellation, refund and no-show policies must be clearly displayed on the Platform and consistent with applicable law. Vendor will process refunds timely and cooperate with TripLodge on dispute resolution.
Unfair Trade Practices. Vendor shall not engage in unfair trade practices, false advertising, or misrepresentation of amenities or services.
Inspections, Audits & Quality Assurance
Right to Audit. TripLodge may, with reasonable notice, audit or inspect Vendor’s premises and records to verify compliance with these Terms and applicable laws.
Remedial Action. If an inspection reveals non-compliance, Vendor shall promptly undertake corrective action. TripLodge may suspend or terminate the Vendor’s listing if corrective measures are not promptly implemented.
Prohibited Conduct
Vendor shall not:
a) Use unauthorised or fake credentials, create fake bookings, or submit fraudulent invoices;
b) Post Content violating third-party IP or privacy rights;
c) Offer illegal services or facilitate illegal activity;
d) Discriminate or harass Guests;
e) Manipulate reviews, ratings or other Platform metrics.
Violations may lead to immediate suspension, removal of listings, forfeiture of funds and legal action.
Intellectual Property & Marketing
Platform IP. TripLodge owns all IP related to the Platform. Vendor shall not use TripLodge trademarks, logos or promotional materials except as authorised.
Co-marketing. Parties may agree on joint marketing campaigns under separate written agreements.
Confidentiality
Each party shall keep confidential any proprietary or non-public business information received from the other and shall not disclose such information except as required by law.
13.2 Confidentiality obligations survive termination for three (3) years or as required by applicable law.
Representations & Warranties
Vendor represents and warrants that:
a) It has full right, power and authority to enter into and perform this Agreement;
b) All Content is truthful, accurate, and does not infringe third-party rights;
c) It will comply with applicable laws, regulations, licences and tax obligations.
No Other Warranties. TripLodge provides the Platform “as is” and disclaims all implied warranties to the fullest extent permitted by law.
Indemnity & Liability
Vendor Indemnity. Vendor shall indemnify, defend and hold TripLodge and its affiliates harmless from any claim, loss, liability, damage, cost or expense (including reasonable attorneys’ fees) arising from: (a) Vendor’s breach of these Terms; (b) Vendor’s negligence, willful misconduct or fraud; (c) physical injury, property damage or harm to Guests at Vendor’s property; (d) Vendor’s failure to pay taxes or secure licences.
TripLodge Indemnity. TripLodge shall indemnify Vendor only to the extent of TripLodge’s gross negligence or wilful misconduct in providing Platform services.
Limitation of Liability. Except for indemnities, fraud, wilful misconduct, or liability arising from bodily injury or death, neither party shall be liable for any indirect, incidental, consequential, special or punitive damages. The aggregate liability of either party for direct damages shall be limited to the total Service Fees actually paid by Vendor to TripLodge in the 12 months preceding the claim.
Insurance
Vendor shall maintain adequate insurance, including public liability, property and employer liability insurance (if applicable), to cover claims arising from Guest injuries, property damage, theft and other liabilities.
Upon request, Vendor shall provide TripLodge with proof of insurance.
Term, Termination & Suspension
Term. This Agreement commences on Vendor’s acceptance and continues until terminated by either party.
Termination for Convenience. Either party may terminate on [30] days’ written notice; payouts and outstanding obligations shall be settled per these Terms.
Immediate Termination. TripLodge may immediately suspend or terminate Vendor access for breach of these Terms, illegal conduct, or safety risks to Guests.
Effect of Termination. Upon termination, Vendor’s listings will be removed. Sections dealing with payments, confidentiality, indemnities, dispute resolution, limitation of liability and survival provisions survive termination.
Force Majeure
Neither party shall be liable for delays or failures caused by events beyond reasonable control (acts of God, war, strikes, pandemics, government action). The affected party must notify the other and use reasonable efforts to mitigate the effect.
Dispute Resolution, Arbitration & Governing Law (Local Law Clauses)
Amicable Resolution. Parties shall attempt to resolve disputes amicably by senior representatives within 30 days.
Arbitration. If unresolved, disputes shall be referred to final and binding arbitration under the Arbitration and Conciliation Act, 1996. The arbitration seat shall be [Noida/New Delhi] (insert preferred seat). The tribunal shall consist of a sole arbitrator (or three arbitrators if requested by either party) and the language of arbitration shall be English/Hindi. Judgment upon the arbitral award may be entered in any court having jurisdiction.
Governing Law. This Agreement shall be governed by and construed in accordance with the laws of India.
Local Law Clauses — State & Municipal Compliance. Vendor shall comply with state-specific laws (e.g., Shops & Establishment Acts, local municipal by-laws, state fire safety rules). Vendor agrees that any state or municipal enforcement action or compliance requirement shall take precedence for the Vendor’s local operations, and Vendor is responsible for complying with local authorities’ directives. TripLodge’s obligations under this Agreement are limited to the Platform services and do not extend to obtaining Vendor’s local permits.
Jurisdiction for Litigation. For matters not subject to arbitration (if any), the courts in [Noida, Uttar Pradesh] shall have exclusive jurisdiction unless the parties agree otherwise in writing.
Notes: The Arbitration and Conciliation Act, 1996 provides an established framework for arbitration in India; Parties may choose seat and arbitrator details consistent with that Act. (India Code)
Changes to the Agreement & Platform Policies
TripLodge may update these Terms from time to time. Material changes will be communicated to Vendors via email or dashboard notice with reasonable notice. Continued use after the change constitutes acceptance.
20.2 Vendor policies displayed on TripLodge (e.g., cancellation rules, refund policy) form part of the agreement between Vendor and Guest and must be consistent with these Terms.
Notices
Notices under this Agreement shall be sent electronically (email) to the addresses provided during registration or to the address in the Vendor dashboard. Notices are effective when delivered.
Miscellaneous
Assignment. Vendor may not assign any rights or obligations under this Agreement without TripLodge’s prior written consent. TripLodge may assign to an affiliate or successor.
Relationship. The parties are independent contractors; this Agreement does not create agency, partnership, joint venture or employment.
Severability. If any provision is invalid or unenforceable, the remainder of the Agreement remains effective.
Entire Agreement. These Terms, together with the Vendor dashboard terms, pricing schedule and any separate written agreement, constitute the entire agreement between the parties.
Additional Local Law Clauses (Selected Guidance & Model Wording)
State Shops & Establishment and Labour Compliance. Vendor confirms compliance with state Shops & Establishment legislation and labour laws, including maintaining registers and statutory employee contributions (ESI, PF) where applicable.
GST Clause (India). Vendor shall (i) obtain GST registration if applicable, (ii) issue GST-compliant invoices for taxable supplies, and (iii) be solely responsible for GST returns and related compliance. TripLodge may collect GST on its commission and issue tax invoices for the supply of Platform services. Failure to comply may lead to platform suspension. (taxinformation.cbic.gov.in)
Data Privacy & Local Authorities. Vendor acknowledges DPDP Act (Digital Personal Data Protection Act, 2023) obligations to safeguard digital personal data; Vendor must promptly respond to data subject requests and regulatory inquiries.
Health & Food Safety (FSSAI) Clause. Where Vendor provides food & beverage services, Vendor shall obtain and maintain FSSAI or state equivalent food-business licensing and adhere to food safety norms.
Fire & Safety Certification. Where local law requires fire-safety clearance and occupancy certificates, Vendor shall secure and maintain such certificates; Vendor must immediately notify TripLodge of any lapse or revocation.
Local Tax & Municipal Levies. Vendor shall pay local taxes/levies (property tax, municipal charges) and comply with local lodging/eco-tourism levies if applicable.
Remedies & Enforcement
TripLodge may take any of the following actions for Vendor breach: temporary suspension, removal of listings, withholding payouts, deduction of amounts due from future payouts, or termination and referral to authorities.
If TripLodge suffers losses due to Vendor’s breach, Vendor shall be liable for direct damages, costs and enforcement expenses including reasonable legal fees.

Acknowledgement & Acceptance
By registering and listing on TripLodge Universe, Vendor acknowledges that it has read, understood and agrees to be bound by these Terms and any incorporated policies. Vendor further confirms it will operate its business in compliance with applicable laws and regulations and will cooperate with TripLodge for dispute resolution, compliance checks and safety incidents.
